Jonathan Margolies has been engaged in practice for over 30 years with primary emphasis on a broad spectrum of commercial law and financial services, including banking law and enforcement of creditor rights, secured transactions, debtor-creditor relations, corporate bankruptcies and workouts, commercial transactions and documentation, corporate formations, acquisitions, business litigation, and appellate practice. He regularly represents an array of institutional lenders, middle-market businesses, and start-up companies. His litigation practice encompasses state and federal courts and national bankruptcy courts.
Corporate Law
Jonathan’s business practice includes the representation of corporate clients on a wide array of commercial issues, including preparation and review of contracts, stock and asset sale transactions, purchase and sale of real estate, leasing issues, corporate governance, shareholder and equity member agreements, commercial litigation, employment matters, and financing. He also provides legal counsel to entrepreneurs and start-up companies on entity formation and governance, equity structure and ownership relationships, financing issues, and the various commercial matters facing such clients at the outset of their business ventures.
Bankruptcy and Creditor Rights
In the corporate bankruptcy arena, Jonathan’s practice encompasses the full gamut of business issues, including debtor-in-possession financing; cash collateral; stay relief and valuation litigation; prosecution and defense of preferences and other avoidance actions; asset sales, lien perfection; priority disputes and claim disputes; plan confirmation; and all other aspects of bankruptcy litigation. His representation extends to a wide range of parties, including secured and unsecured creditors, debtors, creditors’ committees, trustees, and governmental agencies.
Over the last three decades, Jonathan has participated in many of the largest corporate bankruptcies in the Kansas City metropolitan area as well as reorganization cases on a national scale in such varied industries: hospitality, commercial real estate, agribusiness, financial and retail enterprises, theater groups, energy production and delivery, and large-scale utility operations. He also serves as the lead counsel for corporate debtors, having successfully reorganized several companies in diverse arenas, including trucking, health clubs, retirement home, and apparel.
Financial Services
Jonathan represents many local (Kansas City), national, and international leading banks and lenders. Lenders consult with him on a broad spectrum of financial issues, including loan documentation, participation, and subordination agreements; the perfection of collateral; Uniform Commercial Code issues; lien priority disputes; negotiation of workouts; forbearance agreements; debt restructuring and refinancing; enforcement of lender rights and remedies; and mediation and commercial litigation. His substantial knowledge and experience in debtor-creditor law facilitate the rapid formulation and implementation of legal strategies, including, but not limited to, prosecution of litigation that provides maximum results for his clientele.
