Nida’s practice focuses on advising clients on technology, intellectual property (IP), and data issues in business transactions, including software contracts, outsourcing, licensing, and reseller arrangements. She has expertise in privacy and security matters, including those under the California Consumer Privacy Act (CCPA), the Health Insurance Portability and Accountability Act (HIPAA), and the Health Information Technology for Economic and Clinical Health Act of 2009 (HITECH). She frequently advises clients on AI tools with attention to data sharing, IP ownership, and sector specific applications such as Revenue Cycle Management services in healthcare. Also, she often advises clients on matters regarding the transfer of data offshore.
Nida’s experience includes:
- Software and Technology Contracts – covering both general commercial terms (e.g. insurance, indemnities, limitation of liability) and technology-specific elements (e.g. data rights, licensing, integrations, support/maintenance).
- Cloud Platform Agreements – reviewing contracts with major cloud providers such as Microsoft and Oracle, including associated services terms, data protection addenda, and service level agreements.
- Outsourcing, licensing, and reseller arrangements – advising on IP licensing (software licensing, technology transfer), technology outsourcing (e.g. IT services, business process outsourcing, revenue cycle management outsourcing), and value-added reseller agreements (e.g. cloud service re-sales, managed services partnerships).
- Website Terms and Conditions, Privacy Policies, and Short Message Service (SMS) and Voice over Internet Protocol (VOIP) terms.
- Data privacy and security breaches, and matters under state laws, including those under the CCPA, HIPAA, and HITECH.
- Marketing contracts and arrangements contemplating use of customer personally identifiable information; customer analytics; marketing by email, text, or auto dialer; or sharing of credit card information, among others.
Originally from Karachi, Pakistan, Nida received her primary law degree from the University of London and completed an LL.M. from Harvard Law School. Before joining the firm, Nida was in private practice and worked on a diverse set of strategic transactions, including mergers and acquisitions.
In her free time, Nida enjoys spending time with family and friends, trying different restaurants, and traveling.
